Conditions of Use
In General:
Offers, deliveries and work of the company OKP GmbH are carried out on the basis of the following terms of business. At the the latest these terms are accepted with the receipt of goods or work. We expressly reserve the right of correction in case of errors and differences in the catalogue, illustrations and prices, as well as in invoices. We are entitled to change our terms of sale, delivery and payment at any time. All contracts which are made before such a change or which are not fulfilled will not be affected. Our offers are to be understood without engagement, as far as nothing else has been agreed on. The prices are indicated in EUR.
Delivery:
In any case the delivery is carried out on account and risk of the purchaser, customer or consignee. We reserve the right to choose the way of transport. In the event of damages and loses on the transport we do not take over responsibility. Demands towards the transporter resulting of such events, are transfered to the customer. The period of delivery will be kept to schedule as close as possible, but we reserve the right to put off or refuse the delivery, to fulfil the order in one or more deliveries or to cancel it, without any form of compensation for the customer.
Complaint/Guarantee:
Complaints can only be drawn into consideration when they are reported within eight days after receipt of the goods in a written form. In case of an acknowledged defect we only have the obligation to replace the damaged item or to accept a return of the damaged item in our estimation. Claims of compensation, even if they result from defects of material or construction, are as well refused as compensations for lost profit. This is also valid for damages, which might occur at other objects because of installation of the items delivered by us. The right for complaint will expire by unauthorized gearing at the item. For goods, which are sold with manufacturers guaranty, will only be taken over liability, as far as the manufacturer takes over compensation. A compensation for following damages will not be taken over. We restrict the time of guaranty to six months after receipt of the items. The regulations of the german law in this aspect are not affected by this conditions.
Returning of Goods:
Returning of goods should always be arranged with us. In case the return is not based on a mistake of the company OKP GmbH we reserve the right – if nothing else is agreed on – to charge an amount of 20 % of the total price of the item as costs of re-storage.
Reservation of Proprietary rights:
Our deliveries remain our property until all claims are payed. In case the customer acts contrary to the agreement – especially in case of overdue payment – the trader is entitled to take back the goods on costs of the customer or if necessary to demand ceding of the return-compensations of the customer towards a third party. The return or the seizure of the item does not mean a withdrawal of the contract, so far the law of hire purchase does not find application.
Payment:
So far nothing else has been agreed on, all invoices are to be payable immediatly and without any discount.
Data Capture:
We inform you about the fact, that we store your data in our computer system and work with them – as far as they are relevant for our business and with consideration of the german law of data protection (§ 26 BDSG).
Applicable Law, Court of Jurisdiction:
The regulations of the contract are only liable to the law of the Federal Republic of Germany. The application of the international purchase law is excluded. Court of jurisdiction for businessmen, for persons who do not have a general court of jurisdiction in Germany and for persons who have transfered their domicil or usual residence away from Germany after completion of the contract or for people who's domicil or usual residence is unknown at the time of institution of proceedings is München, Germany.
Final Clause:
Should one or more of the above mentioned conditions be or become inoperativ, this will not affect the other conditions. The inoperativ condition will be replaced by an effective condition, which will fulfil the pursued purpose as close as possible.
